CustoVendo functions as a venue/platform for Customers to connect with businesses to procure goods or services. For businesses, CustoVendo serves as a platform to showcase their services and business profile.

CustoVendo is not involved in any negotiations between customers of CustoVendo and businesses. CustoVendo is not a party to any agreements, including those for the sale or supply of goods or services, concluded between the customers and the businesses.

CustoVendo has no control over and is not liable for the quality, safety, authenticity, legality, or availability of the requirements of customers or the products/services offered by the businesses. CustoVendo is not responsible for the information furnished by the businesses or the capability of businesses to supply goods or services to complete a business, or the capability of customers to complete a business.

This Agreement does not establish a partnership, joint venture, or any other business relationship between CustoVendo and any other party.

CustoVendo is an e-commerce company based in India that offers C2B and B2B services through its online platform custovendo.com. The platform helps customers seeking to meet their requirements to find appropriate sellers/service providers while enabling businesses to increase their visibility as well as find new customers. At CustoVendo, customers can post their requirements for which vendors put forth their business proposals.

The company operates a C2B and B2B portal that facilitates business opportunities between buyers and sellers/service providers.

The terms of this Agreement are applicable to individuals who access or use the website or use CustoVendo Services for any reason, as well as to any legal entity that may be represented by an individual accessing or using the website under actual or apparent authority. Users are permitted to use CustoVendo services (website or mobile application) for personal and business purposes.

This Agreement pertains to all the services offered by CustoVendo on the website and the mobile application including any additional terms and conditions that may be relevant to a particular service accessed or utilized by the User(s). If any conflict or inconsistency arises between the provisions of this Agreement and the additional terms and conditions that apply to a specific service offered on the website, the latter shall take precedence over this Agreement. The User acknowledges that this Agreement shall govern their use of CustoVendo Services and shall supersede any prior terms, agreements, or contracts between CustoVendo and the User.

The terminology “services” means, usage of the website custovendo.com and all its subdomains.

CustoVendo retains the right to revise, modify, amend, or update this Agreement periodically, and any amended provisions shall become effective immediately upon being posted on the website. Any such update will be intimated through registered e-mail of the User. If you do not agree to these new provisions, you must discontinue using the service without delay. Your continued use of the service will be considered as acceptance of the revised provisions of the Agreement.

The User(s) declare and confirm that they possess the legal entitlement to access and utilize the services provided by CustoVendo, which includes the website and any other services offered by CustoVendo in relation to the use of the website ("CustoVendo's Services"). Only individuals who are legal citizens of India or business entities, such as sole proprietorship firms, companies, and partnerships, that are authorized under applicable legislation to establish legally binding agreements are eligible to avail CustoVendo's Services. Therefore, individuals under the age of 18, individuals who do not hold legal citizenship in India, and business entities or organizations that lack legal authorization to operate in India or other jurisdictions are prohibited from accessing or utilizing CustoVendo's Services.

The User(s) consent to comply with this Agreement and any other relevant regulations and legislation. CustoVendo or the website shall not be held responsible for any material transmitted over CustoVendo's Services, including content that is fraudulent, untrue, misleading, inaccurate, defamatory, offensive, or illegal, and any damages that may arise from such material are solely the responsibility of the User(s). The User(s) must conduct their own research before engaging in any transaction with other users on the website. CustoVendo reserves the right to refuse CustoVendo's Services to any individual at any time at its sole discretion. CustoVendo's Services are not available to User(s) whose accounts have been temporarily or permanently suspended by CustoVendo.

The website mandates a registration process for User(s), which has to be completed in order to access the services of the platform. This is designed for the convenience of the User(s), enabling them to use the website with ease.

By completing the online registration form on the website and providing the necessary information, such as name, contact details, and business particulars, User(s) can register as a registered User(s).

To register at CustoVendo, User(s) are required to provide mandatory information such as First and Last names and contact details. A User account is created once CustoVendo verifies the User’s e-mail address via OTP confirmation.

When User(s) register on the website on behalf of a business entity, they confirm and guarantee that:

1. they possess the necessary authority to legally bind the said business entity to this Agreement;
2. the address submitted by the User(s) during registration corresponds to the principal place of business of the business entity; and
3. all other information supplied to CustoVendo during the registration process is truthful, precise, up-to-date, and comprehensive.

For the purposes of this clause, a branch or representative office of User(s) will not be regarded as a distinct entity, and the principal place of business of User(s) will be deemed to be the location of its head office.

CustoVendo will never share Users’ personal data such as e-mail addresses and mobile numbers with any other users and businesses within or outside CustoVendo.

By registering on the website, User(s) agree to allow CustoVendo to include their personal data in its online database and to share such information with other User(s). CustoVendo reserves the right to refuse registration and deny membership for any user without disclosing any explanations in order to protect the integrity and security of the organization. CustoVendo also reserves the right to suspend or terminate a registered membership at any time, without prior notice, in the interest of CustoVendo or its User(s), without incurring any further liability. It is important to note that User(s) registered on the website are not in any way associated or affiliated with CustoVendo.

For any clarifications or mandatory account or service intimations, CustoVendo shall get in touch with a User via e-mail only. CustoVendo will never contact any User through phone calls, SMS, or any other communication platform and ask for any account-related information.

CustoVendo provides an online platform for the purpose of connecting the buyers and suppliers of products and services. It is important to note that CustoVendo does not act as a representative of either the buyer or the seller in any transaction, and does not charge any commission for facilitating such transactions. It is also to be noted that CustoVendo is not responsible for the quality, safety, lawfulness, or availability of products or services offered for sale on the website. Furthermore, CustoVendo cannot guarantee the ability of businesses to complete the business or the ability of buyers to complete a business.

Users of the website should be aware that there are potential risks when dealing with foreign nationals or individuals who may be acting under false pretences. While CustoVendo utilizes various tools and techniques to verify the accuracy and authenticity of information provided by Users, it is not possible for CustoVendo to ensure 100% authenticity and accuracy of such information nor is it possible to confirm the identity of each User or business on the website. Therefore, it is recommended that Users exercise caution when dealing with other Users and businesses on the website and use their own judgment to evaluate potential business partners.

Users are responsible for assuming all Risks related to any communications and business based on any provided content, information, or material on the website. They must also take on any potential liability or harm resulting from subsequent activities associated with the purchased products or services.

The risks associated with transactions on the website include, but are not limited to, misrepresentation of products or services, fraudulent schemes, subpar quality, failure to meet specifications, defective or hazardous products, illegal products, delays or defaults in delivery or payment, inaccurate cost calculations, breach of warranties or contracts, and transportation accidents.

This Termination Policy ("Policy") outlines the conditions under which a user's account may be terminated by CustoVendo ("we", "us", or “our”).

Grounds for Termination: We reserve the right to terminate a user's account, with notice, for any of the following reasons:

• violation of our Terms of Service or any other policies we have in place
• any illegal or fraudulent activity or behaviour
• harassment, abuse, or threatening behaviour towards our employees, other User(s), or third parties
• use of our platform in a manner that negatively affects other Users or our services
• failure to pay for services rendered
• any other reason that we deem appropriate.

User account, business profile (if created) will be terminated immediately and all user posted content will be deleted immediately, if the user supports/posts restricted/prohibited content.

Termination Procedure: When a user's account is terminated, we will notify the user via e-mail. We may also provide a reason for the termination, although we are not obligated to do so.

Appeal Process: If a user believes that their account has been terminated unjustly, they may appeal the decision by contacting our support team at [email protected] within 7 days from the termination. We will review the appeal and respond within a reasonable time frame. Our decision on the appeal shall be final. Any appeals after 7 days shall not be considered.

Effect of Termination: Upon termination of a user's account, access to our services will be immediately suspended. Any outstanding fees or charges owed to us will become due and payable immediately.

Modification of Policy: We reserve the right to modify this Termination Policy at any time. Any changes will be posted on our website and will be effective immediately upon posting.

User account will be terminated if the User in question posts, hosts, displays, or shares on the platform content that comes under one or more of the prohibited categories. User(s) agree that products or services they procure/list on the website are strictly within the categories that are available in the website, and that fall in one or more of the prohibited categories shall not be listed for procurement, sold, purchased, or advertised on the website. The website may display content that is provided or posted by CustoVendo’s registered User(s). Users can also post their own content on certain sections of the website by using the self-help submit and edit tools provided in those sections. However, all of these services will require registration and some might require a valid subscription that is activated by a fee payment.

Users are solely responsible for ensuring that any material or information they post on the website, provide to the website, or authorize for display on the website does not violate any Third-Party Rights. • threatening the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order, or causing incitement to the commission of any cognizable offense or insulting another nation;
• introducing computer viruses or other destructive devices or codes that damage, interfere with, intercept, or expropriate any software or hardware system, data, or personal information or that are designed to interrupt, destroy, or limit the functionality of any computer resource;
• linking directly or indirectly to or including descriptions of goods or services that are prohibited under prevailing law;
• otherwise creating any liability for CustoVendo or its affiliates.

CustoVendo has the authority to remove any material, content, photos, or offers displayed on the website that violate the Agreement, are deemed inappropriate by CustoVendo, or are believed to be unlawful and may cause liability to the company. CustoVendo may also cooperate with government authorities, private investigators, or third parties in investigating any suspected wrongdoing.

CustoVendo may suspend or terminate the Account of any User(s) at its sole discretion, and Users acknowledge that CustoVendo shall not be liable for any damages resulting from such actions. Users understand that the website functions as a content integrator and is not responsible for the information provided by Users. CustoVendo does not participate in developing the content displayed on the website. Additionally, CustoVendo has the right to promote any content, including text, images, videos, brochures, etc., provided by Users on various platforms owned by the company.

The privacy of User(s)’ personal information provided while using the website is protected under CustoVendo's Privacy Policy.

URLs and sub-domain names assigned by CustoVendo to Users (both paid and free) are the exclusive property of CustoVendo, and are subject to change or termination without prior notice. In such cases, CustoVendo will not be liable for any damages, including lost profits or business interruption. The laws of the Indian Territory shall govern this Agreement and the Privacy Policy in all aspects. CustoVendo acknowledges and intends to be subject to the jurisdiction of the courts of Madras, Tamilnadu, India exclusively. The parties to this Agreement agree to submit to the exclusive jurisdiction of the courts of Madras, Tamilnadu, India.

CustoVendo and User(s) shall provide effective notice to each other in writing. Notices or demands to CustoVendo shall be considered duly made when sent to CustoVendo’s postal address.

CustoVendo provides the features and services on the website on an "as is" and "as available" basis. CustoVendo explicitly disclaims any and all warranties, whether express or implied, including but not limited to warranties of condition, quality, durability, performance, accuracy, reliability, merchantability, or fitness for a particular purpose. CustoVendo excludes all such warranties, representations, conditions, undertakings, and terms. User(s) agree to indemnify and hold harmless CustoVendo, its affiliates, directors, officers, and employees from any losses, claims, or liabilities (including legal costs on a full indemnity basis) that may arise, directly or indirectly, due to claims made by third-party rights claimants or other third parties regarding products offered or displayed on the website. User(s) also acknowledge that CustoVendo is not liable for any material posted by other User(s) or third parties, including defamatory, offensive, or illicit material, and that any potential damage resulting from such material is the sole responsibility of the User(s). CustoVendo reserves the right, at its own expense, to assume exclusive defense and control of any matter that is otherwise subject to indemnification by any User(s), in which case the User(s) must cooperate with CustoVendo in asserting any available defenses.

CustoVendo shall not be held responsible for any direct, indirect, special, punitive, incidental, or consequential damages, or any other damages whatsoever, including but not limited to loss of profits or savings, business interruption, or loss of information, resulting from any of the following:

CustoVendo is not responsible for any information, content, or material related to pharmaceutical products posted by Users(s), and Users(s) posting such content are solely responsible for ensuring compliance with relevant laws and rules. Users(s) selling prescription medicines or drugs mentioned in any of the Schedules of the Drug Rules without a prescription issued by a registered medical practitioner and in accordance with relevant rules bear all liabilities, and CustoVendo shall not be responsible in any manner for any breach of this condition.

Users(s) agree to indemnify and hold harmless CustoVendo and its affiliates, directors, officers, employees, or representatives from any and all losses, liabilities, damages, claims, costs, and expenses (including attorney's fees and expenses) arising from any illegal sales of drugs and/or medicines.

CustoVendo does not offer guarantees or warranties on the medicinal products or services listed on the website and is not liable for any transaction between Users(s) involving sale of any medicine(s) restricted and/or banned for sale by any governmental or regulatory authorities.

CustoVendo does not offer any refund policy. Payments once made will not be refunded or appropriated to other accounts under any circumstances whatsoever.

A registered User as a vendor will be billed fully for the subscription term. During the subscription term, if the User cancels the subscription for any reason whatsoever, CustoVendo shall not be liable to provide refund for any unused portion of such subscription term. For any cancellation, however, you will continue to have access to the paid services through the end of your current subscription term.

The Agreement and Privacy Policy together constitute the entire agreement between the User(s) and CustoVendo regarding access to and use of the website, and supersede any prior written or oral agreements on the same subject matter.
